Partner Program
Partner Terms and Conditions

1. Partner Program Agreement

By participating in the TribeZ Partner Program, you agree to these terms and conditions.

  • Partners must maintain professional conduct and represent TribeZ appropriately
  • All marketing materials must be used as provided without modification
  • Partners are responsible for their own business practices and compliance
  • TribeZ reserves the right to terminate partnerships for violations

2. Non-Compete and Non-Solicitation Clause

STRICT NON-COMPETE PROVISIONS

Violation of these provisions will result in immediate termination and financial penalties.

  • Duration: 24 months from partnership termination or last activity
  • Geographic Scope: Worldwide restriction on competing services
  • Prohibited Activities:
    • Direct or indirect competition with TribeZ platform services
    • Development of similar freelance/client matching platforms
    • Solicitation of TribeZ clients, freelancers, or employees
    • Use of TribeZ proprietary information for competitive purposes
    • Partnership with direct competitors of TribeZ
  • Financial Penalties:
    • Minimum penalty: $50,000 USD per violation
    • Additional damages: 3x the revenue generated from competitive activities
    • Legal fees and court costs borne by violator
    • Immediate forfeiture of all outstanding commissions

3. Intellectual Property Protection

All TribeZ intellectual property, including but not limited to:

  • Platform Technology: All software, algorithms, and technical implementations
  • Brand Assets: Logos, trademarks, and visual identity elements
  • Marketing Materials: Presentations, scripts, and promotional content
  • Business Processes: Operational methods and proprietary workflows
  • Client Data: All information shared through the platform

Partners may not reverse engineer, copy, or distribute TribeZ IP without written permission.Penalty for IP violations: $100,000 USD minimum.

4. Data Protection and Confidentiality

  • Partners must maintain strict confidentiality of all client information
  • No client data may be shared outside the platform without explicit consent
  • Partners must comply with all applicable data protection laws
  • All communications must be conducted through secure channels
  • Partners are responsible for their own data security practices
  • Data breach penalties: $25,000 USD per incident

5. Commission and Payment Terms

  • Commissions are calculated based on successful referrals only
  • Payments are processed monthly for amounts over $50
  • TribeZ reserves the right to withhold payments for policy violations
  • Commission rates may be adjusted with 30 days notice
  • Partners must provide accurate tax information for payments
  • Fraudulent activity penalties: $75,000 USD minimum

6. Platform Integrity and Security

  • Partners must not attempt to circumvent platform security measures
  • No unauthorized access to other users' accounts or data
  • Partners must report any security vulnerabilities immediately
  • All platform interactions must comply with our security policies
  • Partners are responsible for maintaining secure access credentials
  • Security violation penalties: $50,000 USD minimum

7. Termination and Consequences

  • TribeZ may terminate partnerships immediately for serious violations
  • Upon termination, all access to platform and materials is revoked
  • Outstanding commissions may be forfeited for policy violations
  • Partners must return or destroy all confidential materials
  • Non-compete clauses apply for 24 months post-termination
  • Immediate financial penalties apply for violations

Client Services
Client Terms and Conditions

1. Service Agreement

By using TribeZ services, clients agree to these terms and conditions.

  • Clients must provide accurate business information
  • All payments must be made through approved channels
  • Clients are responsible for their own compliance requirements
  • TribeZ provides platform access but does not guarantee specific outcomes

2. Non-Compete and Platform Protection

PLATFORM PROTECTION CLAUSES

Violations will result in immediate account termination and financial penalties.

  • Duration: 18 months from account termination
  • Restricted Activities:
    • Development of competing freelance/client platforms
    • Direct solicitation of TribeZ freelancers for off-platform work
    • Use of TribeZ data or processes for competitive purposes
    • Sharing of platform access with unauthorized users
    • Reverse engineering of platform technology
  • Financial Penalties:
    • Minimum penalty: $25,000 USD per violation
    • Additional damages: 2x the value of services received
    • Legal fees and enforcement costs
    • Immediate account suspension and data deletion

3. Data Ownership and Usage

  • Clients retain ownership of their business data and content
  • TribeZ may use anonymized data for platform improvement
  • Client data is protected by our privacy policy and security measures
  • Clients must not share platform access with unauthorized users
  • All data processing complies with applicable regulations
  • Data misuse penalties: $15,000 USD minimum

4. Platform Security and Access

  • Clients must use secure authentication methods
  • No sharing of login credentials with unauthorized parties
  • Clients must report suspicious activity immediately
  • Platform access may be suspended for security violations
  • Clients are responsible for their own device security
  • Security breach penalties: $10,000 USD minimum

5. Payment and Billing Terms

  • All fees are billed according to agreed-upon terms
  • Late payments may result in service suspension
  • Refunds are processed according to our refund policy
  • Clients must maintain valid payment methods
  • Disputed charges must be reported within 30 days
  • Payment fraud penalties: $20,000 USD minimum

6. Service Limitations and Disclaimers

  • TribeZ provides platform access but does not guarantee specific results
  • Service availability may be affected by maintenance or technical issues
  • Clients are responsible for their own business decisions and outcomes
  • TribeZ is not liable for indirect or consequential damages
  • Force majeure events may affect service delivery

7. Termination and Data Export

  • Clients may terminate services with 30 days notice
  • Upon termination, clients may export their data within 30 days
  • TribeZ will delete client data after 90 days post-termination
  • Outstanding payments must be settled before account closure
  • Some data may be retained for legal compliance purposes
  • Non-compete obligations remain for 18 months

Freelancer Services
Freelancer Terms and Conditions

1. Freelancer Agreement

By joining TribeZ as a freelancer, you agree to these terms and conditions.

  • Freelancers must provide accurate professional information
  • All work must be performed to professional standards
  • Freelancers are independent contractors, not employees
  • Compliance with all applicable laws and regulations is required

2. Non-Compete and Platform Exclusivity

PLATFORM EXCLUSIVITY REQUIREMENTS

Violations will result in immediate account termination and financial penalties.

  • Duration: 12 months from account termination
  • Restricted Activities:
    • Direct solicitation of TribeZ clients for off-platform work
    • Use of TribeZ client data for competitive purposes
    • Development of competing freelance platforms
    • Sharing of platform processes or methodologies
    • Circumvention of platform payment systems
  • Financial Penalties:
    • Minimum penalty: $15,000 USD per violation
    • Additional damages: 3x the revenue from off-platform work
    • Forfeiture of all outstanding payments
    • Legal fees and enforcement costs

3. Brazilian Legal Considerations

🇧🇷 BRAZILIAN FREELANCERS

Brazilian labor law (CLT) may limit enforceability of non-compete clauses. Duration may be reduced to 6-12 months by Brazilian courts.

  • Brazilian-Specific Modifications:
    • Non-compete duration: 6 months (Brazilian standard)
    • Geographic scope: Limited to Brazil for Brazilian freelancers
    • Penalties: May be reduced by Brazilian courts if deemed excessive
    • Legal jurisdiction: Brazilian courts may have primary jurisdiction
    • Labor classification: May be classified as employee under CLT
  • Brazilian Compliance Requirements:
    • Compliance with Brazilian labor law (CLT)
    • Respect for Brazilian data protection law (LGPD)
    • Adherence to Brazilian consumer protection laws
    • Compliance with Brazilian tax regulations

4. Intellectual Property and Work Product

  • Work product belongs to clients unless otherwise agreed
  • Freelancers retain rights to their general skills and knowledge
  • No TribeZ IP may be used outside the platform
  • Freelancers must respect client confidentiality agreements
  • Portfolio work may be used with client permission only
  • IP violation penalties: $20,000 USD minimum

5. Platform Security and Data Protection

  • Freelancers must maintain secure account access
  • No sharing of client information outside the platform
  • All communications must be conducted through secure channels
  • Freelancers must report security incidents immediately
  • Personal devices must meet security requirements
  • Data breach penalties: $10,000 USD minimum

6. Payment and Fee Structure

  • Payments are processed according to platform schedule
  • Platform fees are deducted from gross earnings
  • Freelancers are responsible for their own tax obligations
  • Payment disputes must be resolved through platform channels
  • Minimum payout thresholds apply to all transactions
  • Payment fraud penalties: $25,000 USD minimum

7. Professional Conduct and Quality Standards

  • All work must meet professional quality standards
  • Freelancers must communicate promptly and professionally
  • No discrimination or harassment is tolerated
  • Freelancers must maintain professional profiles and portfolios
  • Quality reviews and feedback systems must be respected
  • Professional misconduct penalties: $5,000 USD minimum

8. Account Management and Termination

  • TribeZ may suspend accounts for policy violations
  • Freelancers may deactivate accounts with 30 days notice
  • Outstanding payments are processed within 30 days
  • Account data is retained according to privacy policy
  • Reactivation may require review and approval
  • Non-compete obligations remain for 12 months (6 months for Brazilian freelancers)
